We hereby apply for Free Trial of OSE Information according to the terms and conditions described below.
We accept that OSE solely decides whether to approve our application to Free Trial during the Free Trial period, based on information on this application and other information, and we undertake that we will not bring any
challenge to OSE in the case of refusal of our application.
We confirm that we need to submit Application form to OSE to execute Information Provision Agreement with OSE to receive and use Information.
With respect to our use of Information acquired from OSE or Service Provider during the period of free Trial, we agree and comply with the terms and conditions as follows, in the case of approval of this application for the Data.

We shall use the Data solely in order to examine effectiveness of our trading methodology at OSE markets or configuration of our systems with OSE markets, which are maintained and operated by OSE, in consideration of new entry to the markets. In the event of provision of the Data by OSE, we shall cooperate with OSE’s marketing activities such as demand survey.

Without the prior written consent of OSE, we shall not disclose any material received from OSE in conjunction with Free Trial,
However, information described in the following clauses shall be excluded:

information that was available to the public at the time of disclosure or later becomes available to the public through no fault of our own;

information that was duly obtained by us from a third party without obligation of confidentiality;

information that was already in the possession of our own at the time of disclosure;

information that was developed by us independent of the Data; and
（ 5 ） よ情たれらめ求を示開り令に命の庁官轄管は又律報 法
information that is required to be disclosed by law or by order of regulatory agencies.

In the case our material breach on any of the provisions of this application has been found, or we have damaged OSE intentionally or negligently, we shall compensate OSE for its loss. Also, in the event that we are in breach of article 1 or article 2 of this application, OSE shall be entitled to request us compensation and we shall comply with such request.

(Definition of Anti-Social Forces)
Article 1. In this covenant, Anti-Social Forces shall be a person or entity which falls under any of the following items:
(1) Organized criminal group;
(2) Member of any organized criminal group;
(3) A person or entity (including its officers (regardless of their titles such as advisor and counsellor; the same shall apply hereinafter), its employees, and any other constituent members; the same shall apply hereinafter) that have close relationships with any organized criminal group or any member of an organized criminal group;
(4) Corporate extortionist;
(5) A person or entity which has made unreasonable demands to citizens or enterprises in the name of social activism, human rights movements, or political activism, etc.;
(6) A person or entity which commit any act which undermines social order or civic safety, etc.; or
(7) A person or entity which is deemed to have a relationship subject to social criticism with any person/entity enumerated in any of the above six items.

2. We must cooperate, as needed, in relation to surveys on whether or not a person or entity referenced in the items of the preceding paragraph or the following items falls under Anti-Social Forces, and submit materials, etc. requested by us.

(Termination)
Article 3. TSE may, if we fall under any of the following items, immediately terminate all or part of this agreement and/or the subject contract without advance notice to us:
(1) Where we have, by itself or by means of a third party, committed acts such as violence, fraud, threatening statement, and obstruction of the conduct of business;
(2) Where we have committed, or is likely to commit, by ourselves or by means of a third party, an act which undermines the reputation of or trust in TSE
(3) Where a person or entity referenced in each item of Paragraph 1 of the preceding article is found to fall under Anti-Social Forces;
(4) Where we do not cooperate on the survey or report prescribed in Paragraph 2 of the preceding article nor submit materials, etc. requested by TSE without reasonable grounds; or
(5) Where we have violated Article 21 or 24 of the "Tokyo Metropolitan Prefecture Ordinance on Eliminating Organized Crime", No. 54 of the Tokyo Metropolitan Ordinance or similar provisions of prefectural or municipal ordinances, etc. enacted by any prefecture, city, special ward, town, or village.

(Liability for Damage)
Article 5. We hereby confirm that, TSE shall not accept liability for any damage or loss incurred by us due to TSE terminating all or part of this agreement or the subject contract pursuant to the preceding article.
